These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and OopsClick LLC ("we," "us," "our," or "SilkBuilder"), the operator of https://SilkBuilder.com and the associated services (collectively, the "Service" or "SilkBuilder").
SilkBuilder provides a platform for enterprise-grade web application development. Through the Service, Clients can create accounts, access an account portal, purchase licenses for SilkBuilder and SilkClient, manage subscriptions, and configure hostnames for their applications.
By accessing or using the Service, creating an account, or purchasing a license, you agree to these Terms. If you do not agree, you must not use the Service.
1. Eligibility and Account Registration
You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements.
To access certain features, you must create an account by providing accurate, complete information (including name and email). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.
2. The Service and Licenses
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the active subscription term solely for your internal business purposes.
- Account Portal: You may use the portal to purchase licenses for SilkBuilder and SilkClient, manage your subscriptions, and configure hostnames for your applications.
- License Scope: Each license is tied to your account and the specific terms of your subscription (monthly or annual). You may not resell, redistribute, or use the Service for any purpose not expressly permitted.
We may update, modify, or discontinue features of the Service at any time. Continued use after updates constitutes acceptance of the changes.
3. Subscriptions, Billing, and Payments
- Purchases: All purchases of licenses are processed through our payment processor, Stripe. You authorize us and Stripe to charge your chosen payment method for the subscription fees.
- Billing: You will be billed monthly or annually in advance, as selected during purchase. Fees are non-refundable except as expressly stated in our cancellation policy or required by law.
- Taxes: You are responsible for any applicable taxes (sales, VAT, etc.). Stripe may collect tax information as required.
- Changes: We may adjust pricing with notice. Price changes apply to subsequent billing cycles.
- Cancellation: You may cancel your subscription at any time via the account portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods unless required by law.
All billing disputes must be raised with us within 60 days of the charge.
4. Hostname Configuration and Application Use
You may configure hostnames (domains) for your applications through the account portal. You are solely responsible for:
- Ensuring you have the legal right to use the chosen hostnames.
- Maintaining valid SSL certificates and proper DNS configuration (where applicable).
- All content, data, and applications hosted or associated with your configured hostnames.
We do not host your applications or provide hosting infrastructure unless explicitly stated in a separate agreement. SilkBuilder and SilkClient are development and licensing tools.
5. Acceptable Use and Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to derive the source code of the Service.
- Use the Service to violate any law or infringe third-party rights.
- Introduce viruses, malware, or disruptive code.
- Overload or interfere with the Service's infrastructure.
- Share your account credentials or allow unauthorized access.
- Use the Service for competitive analysis or to build a competing product.
We may monitor use for compliance and suspend access for violations.
6. Intellectual Property
All rights, title, and interest in the Service, including software, documentation, designs, and trademarks, remain exclusively with OopsClick LLC. These Terms do not transfer any ownership rights.
You retain ownership of your applications and data, but you grant us a limited license to use them as necessary to provide the Service (e.g., for hostname configuration processing).
7. Termination
We may terminate or suspend your access immediately for breach of these Terms, non-payment, or other reasons. Upon termination:
- Your license ends.
- You must cease all use of the Service.
- Outstanding fees become immediately due.
Sections that by nature survive termination (e.g., limitations of liability, intellectual property, governing law) will continue in effect.
You may terminate by canceling your subscription as described in Section 3.
8. Disclaimers and "AS IS" Provision
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your specific requirements. Hostname configuration and application functionality depend on your own setup and third-party services (e.g., DNS providers).
9. Limitation of Liability
To the maximum extent permitted by law, OopsClick LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility.
Our total aggregate liability under these Terms shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
These limitations apply even if a remedy fails of its essential purpose.
10. Indemnification
You agree to indemnify, defend, and hold harmless OopsClick LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your applications, hostnames, or content.
- Your violation of these Terms or any law.
- Any claim that your applications infringe third-party rights.
11. Privacy
Your privacy is important to us. Please review our Privacy Policy (incorporated by reference) for details on how we collect, use, and share information. By using the Service, you consent to our data practices as described there.
12. Changes to These Terms
We may update these Terms from time to time. We will post the revised version with a new "Last Updated" date. Continued use after changes constitutes acceptance. Material changes may be notified via email or a prominent notice on the website.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict of laws principles.
Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Maryland. You consent to the personal jurisdiction of such courts.
14. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us.
- Severability: If any provision is held invalid, the remainder remains in effect.
- Waiver: Failure to enforce a right does not waive it.
- Assignment: You may not assign these Terms without our prior written consent. We may assign them freely.
- Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
